1. Parties and scope

Booknara is operated by VirdisTech LLC, a Wyoming limited liability company, 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("Booknara", "we", "us").

"You" means the business, and the person who creates and manages its account on its behalf. By creating a business on Booknara you confirm that you act for business purposes and accept these terms for that business. You must be at least 18.

2. Your listing and your services

You must be legally able to offer your services where you work and hold any licences, insurance and permissions they require. You provide the services yourself and are responsible for them, for your premises and for your conduct towards customers, including the consumer rights customers have against you.

You give accurate business information (legal name, address, contact details and, where you have one, registration and tax numbers) and keep it up to date; Booknara may show your business name and address to customers and may ask for proof.

Keep your profile, services, prices (including any tax), availability and policies accurate and up to date, and honour the bookings you accept. Content you publish must be lawful, yours to use, and follow our content rules; we may review, edit for safety or remove it.

3. Deposits and payments

Every booking requires a deposit, which you set as a percentage of the price (10%, 20%, 30% or 50%) or as a fixed amount, within the maximum allowed in your country. Booknara never raises it without your choice, except that you may ask for customers who come from Booknara search to pay a deposit that covers Booknara's possible fee; the total price never changes.

You appoint Booknara as your limited payment collection agent: Booknara collects deposits from customers on your behalf through Stripe, and a customer's payment to Booknara counts as payment to you. To receive money you open a Stripe connected account and accept the Stripe Connected Account Agreement, which includes the Stripe Terms of Service; Stripe verifies your identity and holds your bank details, not Booknara. You authorise Booknara to share information about you and your transactions with Stripe for this purpose.

Your part of a deposit is held until the customer's free cancellation period has ended (or, for a deposit kept after a late cancellation or no-show, until the customer's 14-day dispute window has passed), and while no refund, chargeback or open case concerns it. It is then sent to your Stripe account, and Stripe pays it out to your bank on its schedule. The balance of the price is paid to you directly by the customer at the appointment.

Booknara pays the card processing fees on deposits.

4. Booknara's acquisition fee

When Booknara brings you a new customer, a one-time fee applies to their first completed appointment with you:

  • 10% on the Starter plan, 5% on the Professional plan, of the service and add-ons before tax, capped where a cap applies in your country;
  • 0% for customers who booked through your own link, your existing or returning clients, and appointments confirmed during a founding trial;
  • a customer counts as brought by Booknara when they found you through Booknara search, opened your page from it and started the booking within 14 days.

The fee is reserved from the deposit when the customer pays, and earned only when the appointment is completed. If the appointment is cancelled, refunded or doesn't happen, nothing is earned and the reserve is released. A no-show or late cancellation where you keep the deposit carries no fee.

If the deposit doesn't cover the fee, the rest is billed on your monthly statement. You can challenge a fee within 7 days of the appointment (for example if the customer was already your client), and appeal a rejection once within 14 days.

5. Statements, plans and taxes

On the 1st of each month Booknara issues a statement of the previous month's fees, credits and plan payments. Anything due is collected from your saved card or by a payment link, and is due within 14 days. We send reminders 3, 7 and 14 days after the due date.

The Starter plan is free. The Professional plan is a monthly subscription at the price shown for your country; it renews automatically until you cancel, and you keep it until the end of the paid month. Founding Partner prices and trials apply as offered when you join.

Where tax applies to Booknara's fees in your country, statements show it. Where you give us a valid business tax number and the reverse-charge rules apply, no tax is added and you account for it. You are responsible for the taxes on your own services and income, and for showing prices with the tax your law requires.

6. How you appear in search

Search results are ordered by how well your service matches what the customer searched for, then by whether you have a free time in the next days, then by distance from the place the customer chose. You cannot pay to rank higher, and your plan does not change your position. Keeping your services well named, your availability open and your address accurate improves how you appear.

Booknara treats all professionals by the same rules; the Professional plan adds features and a lower fee, not better placement.

7. Data

You see the details of the customers who book with you (name, contact details, booking history with you, answers given at checkout) and can use them to provide and manage their appointments. For that use you are an independent controller of their data and must follow the data protection law that applies to you.

Booknara keeps the data of the marketplace (searches, bookings, payments, reviews) to run and improve the service, as its Privacy Policy describes. You can download your bookings and statements from your account; Booknara does not give your data to other professionals.

8. Refunds, disputes and chargebacks

Customers are refunded as our Cancellation, Refund & Deposit Policy and the law of their country require. When a customer disputes a kept deposit, Booknara reviews it and decides; your part of it waits until then.

If a refund or chargeback happens after your part was sent to you, Booknara may take it back from your Stripe account or from future amounts due to you. A chargeback that is lost is borne in the same way.

9. Referrals

You can invite other professionals with your referral link. When a business you invited publishes and completes its first genuine appointment, you receive 30 days of Professional (or one free month added to a paid plan), up to 6 rewards in any 365 days. Rewards that look staged are reviewed by a person and may be refused or taken back.

10. Suspension, restriction and ending

You can stop using Booknara at any time; bookings already confirmed should still be honoured or cancelled with a full refund.

We may restrict or suspend a business that breaks these terms, harms customers, or creates legal or payment risk. We tell you the reasons when we do it (or before, where we can), and you can contest the decision by replying to us; a person reviews it.

We may end our relationship with you with at least 30 days' notice and reasons, or without notice where the law requires it, or where you have repeatedly broken these terms or put customers at risk. Amounts owed on either side remain due.

11. Complaints

Send any complaint about Booknara to support@getbooknara.com. We acknowledge it within 2 business days, a person looks at it, and we tell you the outcome, normally within 30 days.

12. Liability

To the extent the law allows, Booknara isn't liable for indirect losses or lost profits, and its total liability to you in any 12 months is limited to the fees you paid Booknara in that period. Nothing limits liability that cannot be limited by law. You agree to cover Booknara for claims caused by your services, your content or your breach of these terms.

13. Changes and law

We may update these terms, with at least 30 days' notice by email of any change (shorter only where the law requires a change sooner). If you don't agree, you can end your account before the change applies.

These terms are governed by the laws of the State of Wyoming, USA, and disputes go to the courts there, without removing any protection the law of your country gives you and cannot be excluded.
